Chapter 11 Business Bankruptcy

Chapter 11 Business Bankruptcy is often thought of as the commercial bankruptcy option for businesses, sole proprietors and partnerships seeking to restructure their debts while they liquidate assets and restructure payment plans with creditors.

SUBCHAPTER V SMALL BUSINESS BANKRUPTCY

Subchapter V of Chapter 11 of the United States Bankruptcy Code, part of the Small Business Reorganization Act (SBRA) effective in February 2020, provides small business debtors with a more streamlined and less costly alternative for small businesses to reorganize and confirm a Business Bankruptcy Plan.

A business debtor with non-contingent, secured and unsecured debt less than $2,725,625 may elect Subchapter V treatment.  Note: under the Coronavirus Aid, Relief, and Economic Security (CARES) Act, Congress increased the cap to $7,500,000 for at least one year from its effective date of March 27, 2020.

Subchapter V provides many valuable opportunities for debt reorganization:

  • Much like a Chapter 13 bankruptcy case, a small business debtor electing Subchapter V treatment may spread debt repayment over 3 to 5 years.
  • Administrative expenses, including attorneys and other professional fees, may be paid over the 3 to 5 years of a Subchapter V Plan. 
  • Elimination of costly and time-consuming Disclosure Statements.
  • Elimination of complex Monthly Operating Reports (MOR).
  • Efficient timelines for filing of Subchapter V Plans.
